Why didn't they said anything about illegal recordings of Martin Betancourt in the BizJournal?
Hmmm selective leaking or maybe even Wael Al-Mazeedi lawyers don't know or care what he does as long as their invoices are paid on time.
That "news" article smelled more like a BTU "press release" from day 1. In addition to Almazeedi's lawyers, you would imagine that the "reporter" would have cross-checked facts and dug deeper.

Does anyone know the date of Mr. Al-Mazeedi deposition for Martin Betancourt's case for illegal wiretap? And Christina Stephen's deposition?
Al-Mazeedi and Stephens have been named as deponents in 1)the Betancourt litigation as well as 2)the Murphy litigation. "Fact" discovery, where depositions take place, ends on February 21 for Murphy and April 15 for Betancourt. If I can find more specifics that I can share I will post.
Given the nature of Mr. Abdulmohsen Hayat's lawsuit against BTU Holdings, Mr. Wael Al-Mazeedi, and Ms. Mitsue Oishi I would definitely bet that they'll both be deposed in the coming months.
Ms. Christina Stephens may end up being deposed in this litigation as well. It's a fair bet that Mr. Hayat will want to depose various former and current BTU / QGEN employees who know the "insider info".

Former Travel Manager can say where and when he traveled. Now-a-days all of this stuff is online. Pretty easy to get.

Doubtful travel manager got paid over details of travel. All travel is paid with credit cards so there is a good document trail.
Prior comment about keystroke logger makes me wonder. Did this really occur? For which employees? All? This would be interesting to know more.
If she knew, then maybe she put the squeeze on him. Though Moshen, when you get in there to investigate the money trail, check to see that if she was "paid", whether it was with company funds.
Wael & Mitsue have seen the world on investors dime. Lots of first class air and 5 star hotels. Nothing but the best, price is not an issue.
As Wael lives in fear of being taken out by his enemies while outside the U.S. they do travel at the very last minute. Can't let anyone know when or where he will be traveling as a mole could tip off his enemies. This drives up costs to crazy levels. Other item is change in plans, which could be driven by his paranoia. That was the travel managers job, constantly changing flights and hotels, all at the last minute.

In looking at the blog and obtaining information from trusted insiders one has to wonder if Wael Al-Mazeedi is using his personal money to defend himself or the companies? So if the complaint is correct that Mohsen Hayat is actually paying for Wael's defense.
There has been a concerted effort by someone to post obscene spam messages in the comments section. We have a very good idea regarding the identity of the "spammer."
Actually, given some events that have taken place recently there is only one "obvious" party - most of you can guess who that is.

Wael will fly Simon to Waltham for days or a week at a time. E-mail and telephone not secure enough. BTU spent tens of thousands on a video system but never used it. Wael pays legal fees for him to travel to US!
Must get very expensive very fast to bring Mr. Firth over from caymans to massachusetts. Lawyers charge for their travel expenses + travel time + all billable hours they spend on Mr. Almazeedi's issues = $$$$$$
It doesn't cost Al-Mazeedi anything to fly Mr. Firth to the USA. It cost the investors of the fund whom haven't received any money, nor ever will.
Very good point - that is a critical distinction. Al-Mazeedi does as he pleases and the investors and Hayat end up paying for it. Just more money they'll never see.

BTW, I know Wael from the UK in 80s (at University) and 90s and surprised by what he's doing. His family in Kuwait was well off and you'd think after the gulf war he would have returned to Kuwait???
The lawsuit from IFIC and ASEAN was dismissed on the basis of Forum Non Conveniens. Essentially Massachusetts deferred to the Cayman Islands courts as the more appropriate jurisdiction. The lawsuit by his partner, Abdulmohsen Hayat was also originally dismissed on the basis of Forum Non Conveniens. However, Abdulmohsen appealed the decision and it was reversed - that's why his lawsuit has proceeded.
BTU Power II was the fund that IFIC and ASEAN were involved with. That fund raised ~$100 from investors and borrowed ~$136 million from the seller. The fund was liquidated in 2007. BTU Power holds anywhere from $100 to maybe $120 million in investors capital.
I'm familiar with the facts above because I've helped compile information for this blog.

Al-Mazeedi claims to have arrived in the USA with only $50 dollars in his pocket...

He stated his salary in a court document in 2008 as US $440,000. He gave no indication of any bonuses awarded to him by the directors of BTU (who happen to be Wael Al-Mazeedi and Mitsue Oishi).

Best answer that can be provided for now by this blog is the following from the Betancourt Amended Counterclaims and Third Party Complaint:
17. In the late spring and early summer of 2008, Betancourt met with key Middle Eastern investors who were shareholders in affiliates of Ventures. These shareholders expressed various complaints about Ventures and its affiliates. Among these were complaints that they had not received expected dividend payouts from profits generated by BPC, and that Ventures and its affiliates had not yet fulfilled the frequently-stated promise to create a more transparent investment company where they would have either more access to and control of their funds or the ability to exit the investment altogether.
Which might explain why in the Betancourt litigation they asked for the following:
3. Grant Ventures and Industries a permanent injunction preventing Betancourt from working with any investors in BTU Affiliates or DIB;
Explanation (although none may be needed): they don't want Betancourt to work for any of the Middle East investors that placed their money with "BTU".

Total investments are c. $100-120M. The funds are invested by BTU in other global energy comapnies (??) which presumably generate a ROI. The ROI then goes where? and who montors the value of the original investments?

Re: the financial/business model for BTU.
Note: the following is extracted and summarized from documents filed in US and Cayman courts. A more detailed version with cross-references and hyperlinks will be included in the main blog.
The BTU Power Company (BPC) Offering Memorandum stipulates the relationship between BPC and its investors.
BPC invests in electric power plants (two remaining in its portfolio - Tunisia and Abu Dhabi). Power plants sell to "offtakers" - government owned entities. Profits are sent to BPC, and they make their way up through BTU Power Management and ultimately BTU Holdings.
BTU Power Management takes a 1% management fee (on total invested capital ~ 1 to 1.2 million USD). It is then SUPPOSED to send all remaining monies to the Middle East investors until 1) ALL their initial capital is returned - the $100 to $120 million, and 2) they receive an ROI of 8%.
Any ROI above the 8% is then split between the Middle East investors and BTU Power Management. However, Almazeedi in a letter to Hayat (the 44% owner of BTU Holdings Company, the "parent" company) has admitted that there will be no ROI above 8%.
In other words, other than the management fee, all the monies generated by the two power plants should be going to the Middle East investors.
The BPC Offering Memorandum also stipulates that investors are supposed to receive dividends (when money is available) quarterly. Financial statements are also supposed to be provided quarterly. Audited financials are supposed to be provided soon after the end of each fiscal year. Documents submitted by former investors, Hayat, and a former employee indicate that financial information is not provided by "BTU" as agreed.
Middle East investors have "preference shares" which grants them the right to a preferential return (they ostensibly get their money back as well as an ROI first). Middle East investors hold NO voting shares.
BTU Power Management holds the single voting share for BPC.
As Middlesex Superior Court concluded when it ruled in favor of Hayat on appeal:
"No subsidiary in the BTU Group has an independent board and only Al-Mazeedi and Oishi make policy and substantive decisions."
Probably a long way of saying that Al-Mazeedi and Oishi control everything. Hayat has been taken out of the picture (as a director and shareholder). BTU Power Company is a Cayman Islands entity.
A post in this blog analyzes how Al-Mazeedi's salary + rent on office space in Massachusetts "consumes" most of the management fee. Once you factor-in expenses for lots and lots of lawyers, other employees (salaries + benefits), IT infrastructure, travel expenses, etc.???

Hayat and former BTU Power Company II investors (IFIC & ASEAN) claim that the %50 of Meiya Power Company that was the sole asset of BPC II was purchased for $220 million and subsequently sold for $306 million. They also state that, when Meiya was sold by "BTU", the BPC II investors received their capital back and only a minimal return and that Al-Mazeedi claims that the bulk of the $86 million difference between purchase and sales prices was consumed by expenses. The BPC II investors that sued claim that no financial statements were provided to them regarding the sales transaction.

re: $86 million
Hayat contends that Almazeedi + Oishi conducted a "freeze-out" of his ownership of BTU Holdings Company, the parent company of BTU Power Company. He's states that he's not been provided his share of management fees or profits, etc.. or financial information since 2005.
Regarding Meiya, he contends that the management agreement was transfered from BTU Power Management (a wholly-owned affiliate of BTU Holdings Company) to an entity solely owned by Almazeedi + Oishi. The management agreement is important due to the structure of the fund. The "manager" has the sole voting share in BTU Power Company and BTU Power Company II. There's also an issue of $8 million dollars paid by the purchaser of Meiya to a company owned by Almazeedi + Oishi under a "consulting agreement". Whatever the economic "benefits" (of the purchase and sale of Meiya) were or should have been, Hayat contends that they were "diverted" solely to Almazeedi + Oishi.
He has asked the court for, among other things, monetary damages but has not specified the amount.
Dubai Islamic Bank has acknowledged that they participated in the two "BTU" funds. They've stated that they want their investment in BTU Power Company "redeemed." However, we don't have any other publicly-available information regarding the "position" of other investors in Meiya.

Do you know when fateconsortium.com and MW-Partners.com (appears email only since I can't find any website) were registered to do business in MA? I did a serach on ICANN.org & the internet and found them registered to the same addresses as BTU Ventures, whatever that company is either.

We still can't find ANY indication whatsoever of ANY (conventional or hybrid) "power and desalination plants developed, owned, and operated" by QGEN.
Also, in the "QGEN" website they claim that they have "...several patents pending for its proprietary hybrid plant design configurations" (in the section titled Technology). We couldn't find ANY patent applications by QGEN in either the US Patent & Trademark Office or Wold Intellectual Property Organization databases (they're both public). Any patent applied for or granted in most of the industrialized world would appear in those databases.
Almazeedi uses "BTU" interchangeably. His "frozen-out" partner claims that Almazeedi + Oishi have set up a parallel set of companies that have nothing to do with the "original" BTU Holdings Company (BTU Industries falls in this category). As far as we know, BTU Industries Ltd. is a Caymans company. BTU Industries Holdings (USA), Inc. is the only "Industries" company registered to do business in Mass. Almazeedi has stated in court filings that BTU Industries (USA), Inc. is a company that provides services.
FATE Consortium is a "trademark" granted to QGEN Ltd. (a Cayman Islands company). It does not appear to be a corporate entity. Moreover, it doesn't appear anywhere in the Corporate Database for the Mass Secretary of the Commonwealth. In other words, it's not registered to do business in Mass.
FATE Consortium lists its address as 60 State Street, Suite 700. WilmerHale's offices are located in that building. Also, Regus, a company that specializes in "virtual" offices list the same address as FATE. Maybe FATE is just a virtual office, meaning that, someone answers phones for them "as FATE" and receives and forwards mail as well.

Just a general question, I wonder who helps them write this. As of Thursday 3, 2011 none of this was reported as "news" in their website (except for their Hybrid Energy Consortium press release from last year). On the day of the 2011 MIT Energy Conference they come out with lots of graphics and statements (that can't be confirmed).... wonder why?

Wael was on a panel about Space based solutions to earth bound problems.
I think he did a presentation there. He PAID a law firm to develop his presentation and educate him about the legal issues of space based energy.
There are two entrances to the new office. The main one is the QGEN entry and the second one, off to the other side of the office is the FATE entrance. Wael uses to come and go as he pleases.

Interesting, as FATE Consortium is just a "trademark" - not a company. Trademarks can't employ or pay people / consultants, obviously.
The only company that Almazeedi is involved with that generates any revenue, since we still can't find QGEN's "operational assets," is BTU Power. Not a stretch to figure out who's paying for all this, as you note in the previous comment.

another observation... QGEN may be "working" on patents, but as far as we can tell, it has not filed any patent applications. patent applications are not confidential - a description of the patent with attendant graphics/sketches/schematics is always provided to the public, even after they've already been granted.
QGEN's website states that they have "patents pending," implying that patents are in the process of being issued. they may be spending time and money working on patents. that doesn't mean that they are forthcoming.
BTW, I have several colleagues that have had patents issued (and have patent applications under review) in the US and internationally and I can easily find them in the USPTO and WIPO databases. I still can't find QGEN, or Almazeedi, or Wael, or FATE... maybe they've been filed and are being reviewed under some other name entirely. However, that would mean that neither QGEN nor Almazeedi "own" then.

one more comment. QGEN was actually "conducting business" in Massachusetts 15 months (October 2008) before they were registered to do business in Massachusetts (January 2010).

Why would anyone in their right mind put and IT/SVP/Consultant guy who knows all about your business on the stand?

Wael's net worth most likely isn't $100 million.
We can probably assume that the $8 million fee on Meiya Power was pocketed by Wael and deposited in his foreign bank account. All profit to him for his "consulting". Most likely all of his costs, travel, etc., were probably included as part of the other expenses that have never been accounted for. No taxes paid most likely, all offshore.
The $80 million difference in selling price and money given to investors wasn't all profit to Wael. There were actual expenses that had to be paid from these proceeds. Travel and legal and possibly a contingent fee paid to a party who may have brokered the deal? Lawyers from Hale & Dorr were in Hong Kong for months. They had many people working on this deal so they must have scored huge fees. Expenses were never accounted for so who knows but some of the unaccounted for $80 million must have ended up in Wael's offshore bank account.
The other millions in fees paid to Wael aren't part of his net worth as he has probably spent all of this money on his expenses in the U.S.
So his net worth is probably at least the $8 million and could be up to $50 million? Maybe half of the $80 was taken?
Either way he has benefited very well from the BTU investors.
Not all funds taken by Wael/BTU and are part of Wael's net worth. Since Meiya it is most likely that all of the money earned by the investments and paid in Dividends to BTU Power Management have been spent on operating costs of the BTU/QGEN/FATE, etc. companies. While Wael has granted himself a nice salary majority of the money has been spent on salaries of BTU personnel in MA, consultants, travel,legal, rent, etc.
Amounts spent by BTU US operations could be in the $20 million dollar range in the last 3-4 years. Or more.
As has been mentioned on this site BTU Power Management earns a $1.2 million management fee per year.
1.2 million - CEO $500k - F. khan $300k - Rent for the leased space - Legal fees = - Negative!

A superfluous comment, we all KNOW what WAM/WilmerHale DO regarding THEIR putative confidential INFO (they litigate, and litigate, and litigate....)
Nevertheless, we will actually make two observations regarding WAM's statements in btupower.com.
There have been at least nine (9) distinct sets of known claims/counterclaims involving Almazeedi/BTU within the last 4 years.
WAM makes a blanket statement that no court has passed judgment against him or BTU companies. Much of it has to do with the fact that eight (8) of those pending legal actions have not even been sent to a jury yet. One lawsuit involving prior investors was DISMISSED on the basis of FORUM NON CONVENIENS...meaning (in my non-lawyer interpretation) that:
"...courts may refuse to take jurisdiction over matters where there is a more appropriate forum" (from Wikipedia)
In other words, the reason why one lawsuit involving Almazeedi/BTU was dismissed was because the judge ruled there was a more appropriate forum for the suit to be tried... It was never judged on the MERITS...
