BTU acquisition of Meiya - Lessons in how a Private Equity group makes a $220 million purchase while having only $100 million (actually, BTU never mentions this but the price was $236 million)

THE STORY
An inauspicious start to the BTU involvement with Meiya.  It agreed to acquire Meiya for $220 million but ended up paying $236 million and had to BORROW $136 million from the SELLER to conclude the transaction. BTU is given three months to pay the loan but at some point BTU asks the SELLER for an extra month to come up with the remaining $99 million owed to the SELLER.  Subsequently, it BORROWS $105 million from a consortium of banks to pay the remaining $99 million. BTU is NEVER able to "take out" the loan. Throughout its entire life, the Meiya investment gets saddled with the debt and its costs and risks.

The Middle East investors that actually come up with the money for the purchase believe they bought Meiya for $220 million.  Abdulmohsen Hayat, the 44% owner of BTU Holdings, believes that Meiya was acquired for $220 million.  The BTU Ventures website announces the $220 million acquisition. Wael Al-Mazeedi is SILENT regarding the price in two of his affidavits filed in Massachusetts courts.

Simple math. Price tag as told to EVERYBODY by BTU - monies actually received by PSEG - Cost of not having all the money required to complete the purchase in the first place = $220 million - $236 million - ($105 million - $99 million) =  -$21 million.

"picking up the threads again" regarding BTU Industries Holdings USA Inc., BTU Ventures, QGEN, Wael Al Mazeedi.

We mentioned previously that we would have more detailed information regarding Al Mazeedi's (mis)representations of CONSPIRACY to US Federal, Massachusetts State, and Cayman Islands courts.

Al Mazeedi (primarily through WilmerHale's and Maples & Calders' VERY WILLING cooperation and misrepresentations) is always claiming that there are many people - exclusively his employees, investors, and partners - "out to get him" and bring him and his BTU/QGEN companies down.

We'll provide more context regarding his legal "maneuverings" and the results (the judges so far have issued decisions unfavorable to Al Mazeedi).

By the way, Al Mazeedi's principal lawyers for the past X years have been:
  1. Richard Johnston - Wilmer Hale
  2. Simon Firth - Maples and Calder
We'll also "pick up the thread" of James Commodore and Brian Murphy's affidavits.

Conclusions:
Murphy made factual assertions before US Federal Court.

James Commodore, on the other hand, just wanted to ingratiate himself to Wael Al-Mazeedi and stay on his good side so he wouldn't "get his ass" fired or sued.  We actually analyzed and annotated Commodore's affidavit more than 2 years ago when he originally submitted it to US Federal Court.

Commodore made many "accommodations" during his tenure at BTU.  It got him an additional 8 months of paychecks at BTU.  His departure (booted out or walked out? - more likely the former) was sometime around September 2009.

Interesting public domain correspondence from Commodore exits...

Wael Al-Mazeedi: A review of logic, purpose and/or motive in his lawsuits against former employees and contractors - Mr. Murphy's case

Perhaps the following is somewhat of a cautionary tale. Being on Al Mazeedi's "good side" does not equate to a "good outcome" for those around him:

Murphy submitted two affidavits to US Federal Court in the Betancourt litigation:
  • 1st affidavit in support of Al Mazeedi's litigation against Betancourt: January 14, 2009
  • 2nd affidavit in support of Al Mazeedi's litigation against Betancourt: February 9, 2009
A little bit less than a year later:
  • Murphy was sued by Al Mazeedi on January 7, 2010
Details and discussion will follow. Focus will be on Al Mazeedi's "allegiance" to those that "support" him. One word comes to mind describing Al Mazeedi's regard for those people: DISPOSABLE

Oh, we forgot to mention this, but perhaps we don't have to, Al Mazeedi keeps on being Al Mazeedi and living like Al Mazeedi.... and everybody else... they are just a part of the past.

An $8 million "Good Fortune" for BTU Industries and Wael Al Mazeedi- Good Fortune International Limited

Everybody should hope to have such "Good Fortune"
Good Fortune International Limited (Caymans).... fantastically appropriate name!  $8 million for???  Claims from various parties state that Almazeedi was paid $8 million for ??? "services" under this agreement.

  • This document was filed in the IFIC litigation.
    • [Note: It's worth reiterating that the IFIC litigation was dismissed on the basis of forum non conveniens, not on the basis of the FACTS.]
  • This document and the actions surrounding it are also at the heart of the Hayat litigation.
  • During the course of his employment with BTU, Betancourt detected apparent criminal fraud by his employer, and, as a whistleblower, shared documents evidencing same to counsel for a group of investors who were suing BTU.  [from Betancourt's Memorandum of Law in Opposition to Motion to Dismiss Counterclaims/Third Party Complaint]

The lawyers representing the plaintiffs in the IFIC litigation described the agreement as follows:
"...Plaintiffs received an envelope bearing the name of 'Minter Ellison,' a law firm located in the Asian Pacific; the annotation 'Hong Kong' presumably referring to Minter Ellison's Hong Kong office; and a Boston Massachusetts postmark.  The envelope did not contain a cover letter clarifying the origin of the mailing or the intent of the sender.  Instead, it enclosed a copy of an Advisory Services Agreement ("Agreement") memorializing the $8 million kickback paid to Industries and "loaned" to Ventures.

"The Agreement requires no tangible or enforceable action of Industries or Ventures, providing Industries with $8 million in exchange for illusory promises."

    Observation
This is probably an incorrect recollection: A saying or maxim states something to the effect that "...someone's good fortune is someone else's misfortune..."

WilmerHale (full name: Wilmer Cutler Pickering Hale and Dorr LLP) is OUT of the Betancourt, Murphy, and it appears, McBrearty litigation (we don't know yet about the Hayat litigation).

After SO MANY years of representing Wael Al-Mazeedi in all US-based litigation involving partners (Hayat), former investors (IFIC and ASEAN), former employees (Murphy and Betancourt), former contractors (McBrearty) they are gone in the span of a few days!  They've become history.
The following is from Public Access to Court Electronic Records website (US Federal Courts)

[Note: WilmerHale got the name of the defendant wrong in their Motion and Affidavit in the Betancourt litigation.  They put in the name of Daniel McBrearty.  This is the reason we are guessing that they are withdrawing from the McBrearty litigation as well.]
     Open-ended Question
They have been Wael Al-Mazeedi's principal cudgel (shock troops, storm troopers, etc.) for ALL kinds of disputes.  Wael Al-Mazeedi could seemingly just simply "beat" people and companies into submission through them.  How (WHY) does someone walk away (if that's what they did) from the source of many thousands (millions?) of US dollars in fees?  I imagine it's not on the basis of higher principles (or maybe IT IS - imagine that, WilmerHale thinking about PRINCIPLES instead of $$$).

BTU Holdings Company and its Subsidiaries - Consolidated Financial Statements - 31 December 2004

More information from the Hayat litigation docket.  Almazeedi provided the financial statements for 2004 to Abdulmohsen Hayat sometime in 2006.  Hayat, in his various affidavits, claims not to have received any more current or relevant information regarding BTU Holdings Company.  One can only assume that the liquidator will have a clearer picture at the upcoming first creditors meeting.

BTU HOLDINGS COMPANY was placed in VOLUNTARY LIQUIDATION on January 27, 2011. The Grand Court of the Cayman Islands issued an Order (on February 24, 2011) for the liquidation to be continued under the Supervision of the Court because BTU HOLDINGS COMPANY could not show that it was solvent.

from E&Y website: 2006 Entrepreneur of the Year
Almazeedi's "Founder's Statement" in the new btupower.com Website
    sometime mid-February 2011
"As the BTU Companies continue to successfully execute our business plan, I am pleased to update you on recent and positive developments in our efforts to protect the value of our assets for the benefit of all our investors."
    28 days later...
      Observation
Based on the excerpt form the Cayman Island Companies Law, if BTU HOLDINGS COMPANY could have shown that it was SOLVENT, it could have continued under Voluntary Liquidation

Cayman Islands: Companies Law (2010) Revision
      124. (1) Where a company is being wound up voluntarily its liquidator shall apply to the Court for an order that the liquidation continue under the supervision of the Court unless, within twenty-eight days of the commencement of the liquidation, the directors have signed a declaration of solvency in the prescribed form in accordance with subsection (2).
      Conclusion
The "parent" company of BTU Ventures Inc., BTU Power Management, BTU Power Company, etc. is "broke."  This little bit of information did not make it's way into the Founder's Statement for btupowercompany.com (perhaps Almazeedi will update that website soon.  Maybe he'll return his E&Y Entrepreneur of the Year award as well.)

So, what are these "recent and positive developments" that he was talking about in btupower.com - maybe he was talking about them from HIS perspective... they are positive for HIM.

BTU HOLDINGS COMPANY, the "parent" company of BTU Ventures Inc., BTU Power Management, BTU Power Company, etc. is IN OFFICIAL LIQUIDATION (see post immediately below for a corporate structure diagram of the BTU Group)

from the Hayat litigation Appeals Court decision
FN1. According to Hayat's affidavit '[t]he BTU group companies are a fully integrated whole with each serving BTU Holdings.' Subsidiaries include BTU Power Company (BTU Power), a Cayman Islands corporation controlled by BTU Power Management (Power Management), a Cayman Islands corporation with its principal offices in the United Arab Emirates. Al-Mazeedi is the sole director of Power Management. BTU Ventures provides services to BTU Power on a contract basis on behalf of BTU Holdings and is incorporated under the laws of Delaware with its principal place of business in Massachusetts.

Detailed BTU Group structure. Also, Wael Al-Mazeedi's and Mitsue Oishi's multitude of companies that seemingly do the same thing: The "specious" Track Record

      The "Original BTU"
The following is a detailed "BTU" structure chart based on information available in the public domain.  It has been distilled from court filings, BTU Power Company Offering Memorandum, post in this blog (which are based on public domain information), and multiple websites.

Hopefully it will help navigate the multitude of disparate operating and shell companies that are part of Almazeedi's "business empire."

The "BTU" in the following structure chart is the "original" one.  That is, it is the one where Hayat is 44% owner.  As Hayat himself explains in his Verified Amended Complaint:
"...Hayat has learned that certain entities — also named BTU and related to the energy industry — were formed by Defendants without Hayat's knowledge. In violation of the Defendants' duties of loyalty to Hayat and Holdings, such entities are not owned or controlled by the parent company, Holdings, and are not managed by entities in which Holdings has any ownership stake."
*** CLICK CHART to Expand to FULL Size ***

      More on the "Other BTU"
At some point Al-Mazeedi began to form other entities under the BTU name that have no connection to the "Original BTU" (other than the fact that, on paper, Almazeedi owns shares in the separate entities).  He refers to that hodgepodge of BTU entities as "affiliates" in most of his public pronouncements.  On that basis, if someone owns shares in General Electric and Walmart, they could claim that those two completely separate companies are "affiliates" as well.

As Hayat further explains in his Verified Amended Complaint, "After freezing out Hayat, Al-Mazeedi and Oishi began to form their own parallel set of companies that had no subsidiary relationship to Holdings, to carry out the business of the BTU Group."
      • BTU Industries, Ltd. (Caymans)
      • BTU Industries Holdings Limited (Cayman)
      • BTU Industries Holdings (USA) Inc. (Delaware)
"Hayat does not hold shares in any of these entities."

The "Other Almazeedi and Oishi Companies"
Although they are self-proclaimed "major industry players" not much information is available regarding the newest set of companies formed by Al-Mazeedi and Oishi, and headed principally by Al-Mazeedi.  The only descriptive information available on the web consists almost exclusively of press releases that undoubtedly originate with Al-Mazeedi.
      • QGEN Ltd. (Caymans)
      • QGEN (USA), Inc. (Delaware)
        • The only external "news" link in QGEN's website references the QGEN website exclusively to support its statements.  Seemingly NO independent research or reporting was done in the linked article.
      • FATE Consortium
        • No idea if this is a real corporate entity.  At least in Massachusetts it isn't - it's not registered with the Massachusetts Secretary of the Commonwealth.
The "Track Record" and a Conclusion
This topic has already been discussed at length elsewhere in the blog, particularly in the section titled "What is QGEN."  Al-Mazeedi makes numerous claims regarding the "Track Record" of QGEN (recently) and BTU Industries (previously).  It's pretty clear by now that the only entity that owns ownership interest in power plants of any kind, hybrid or conventional, is BTU Power Company.  However, you can not draw a direct CONNECTION whatsoever between BTU Power Company and any of the other Almazeedi and Oishi companies.

James Commodore affidavit (former BTU General/Corporate/Project Counsel) - Full and Enthusiastic Cooperation with BTU Ventures, BTU Industries and Almazeedi. Words and actions that Anybody would be proud to stand by.

Note: This first post analyzes Commodore's affidavit to understand the "context." A subsequent posting will analyze the "content."

Also, the post immediately below discusses the lawsuit that James Commodore's affidavit supported.

Full Cooperation with BTU and Almazeedi
James Commodore's own words from the affidavit he submitted to US Federal Court.  [link: Commodore Affidavit]
      • "I also told him [Betancourt] that if there was an actual investigation I would welcome it and cooperate." (Paragraph 24)
      • "I have cooperated fully with Ventures' investigation from that time to the present." (Paragraph 25)
Sworn to under the pains and penalties of perjury this 14th day of January 2009.

Signed and sworn before me this 14th day of January, 2009

      Notary Public

[Note: Christina Stephens' signature.  She's notarized many of Almazeedi's legal filings.]

      By Commodore's own:
      • ...sworn statements he acknowledged having fully cooperated with BTU's and Almazeedi's "investigation"
      • ...actions (by submitting this affidavit) he fully supported BTU's and Almazeedi's litigation
It's probably a safe bet that other people who've submitted affidavits in support of Almazeedi's multiple lawsuits were not as enthusiastic - to the extent that they actually WELCOMED the opportunity to participate in Almazeedi's actions - as Commodore. We've not come across a single one yet.

      James Commodore:
He states "facts" based on his "...own personal knowledge" yet, in HIS affidavit most of his statements have caveats:  Puzzled, Concerned, Not Entirely Sure, Unsure, Struggling to Understand, Not Yet Aware, Still Remained Unsure, etc.
(This is what he tells US Federal Court)
The matters set forth herein are based on my own personal knowledge [James Commodore]. (Paragraph 1)

In connection with this work, I was to collaborate with Martin Betancourt who, I was advised, was a Ventures senior business executive involved in project development, asset management and related matters. (Paragraph 5)
      • Our work together began in July 2008 after Mr. Betancourt returned from business travel to the Persian Gulf where he met with certain investors including the Dubai Islamic Bank. (Paragraph 5)
      • Mr. Betancourt' s office was immediately adjacent to my own desk at Ventures. (Paragraph 5).

[Note: Given the fact that Commodore sat "immediately adjacent" to Betancourt's office, and had already been working at BTU for 3 months or so before their "work together began", it's interesting that Commodore had to be "advised" who Betancourt was. Especially given the fact that, as has been documented elsewhere in this blog, when Betancourt started working at BTU there were only ~10 people working at Ventures - most of them, support staff.  How long did it take James to figure things out?]
      • I do not know what became of those voluminous documents and files. (Paragraph 11)  [Note: voluminous is actually a favorite word of a principal WilmerHale lawyer involved in Almazeedi's lawsuits...The word appears in multiple court filings that are presumably written by different people...It sounds "big" literally and figuratively.  Disclaimer: we are not implying that WilmerHale wrote the affidavit for Commodore or all those other people...]
      • However, after complying with Mr. Betancourt's requests for documents from my own office computer, I became concerned about precisely what he was gathering and for what purpose. (Paragraph 11)
      • I was concerned and somewhat puzzled by Mr. Betancourt's implications of his continuing communications with the Dubai Islamic Bank. (Paragraph 14)
      • In the midst of this considerable turmoil, I obviously became concerned about all these events and the fact that I myself had supplied legal documents to Mr. Betancourt. (Paragraph 16)
      • I also was struggling to understand precisely what my duties were and who my client was under these strained circumstances. (Paragraph 16)
      • I was not entirely sure what was going on at BTU, but I thought it would be prudent to establish a record of what I had provided to Mr. Betancourt as well as the other materials that he may have collected of which I was not yet aware. (Paragraph 17)
      • At that time, I still remained unsure about whether there was any misconduct occurring, to whom I should report any potential misconduct or even whether I myself would be accused of wrongdoing if I reported what I knew about Mr. Betancourt's activities. (Paragraph 19)

In the Midst of all this Turmoil, Commodore Remains Lucid
(This is what he communicates to Betancourt a few days before Almazeedi starts his "investigation")
In an email to Betancourt dated Thursday November 27, 2008 (Thanksgiving Day) Commodore wrote to Betancourt:
      Martin,
In case you run into any lawyers, law firms, or companies who may be interested in new hires, attached is my resume.
      Try and enjoy your holiday.
      James
James Commodore Resume to Betancourt [Note: Document properties indicate it was created May 1, 2008 and updated November 21, 2008]

Lots of "things start happening" shortly after Commodore Provided his Resume to Betancourt, Thanksgiving 2008.
A short time later, soon after Thanksgiving, Mr. Betancourt and I noticed the presence of Ventures' outside legal counsel (WilmerHale and Leonard Learner?) at our offices and a general flurry of activity. (Paragraph 21)

[Note: The 1st working day after Thanksgiving in 2008 was December 1]

Given the tone and content of his request to Betancourt just a few days before BTU's and Almazeedi's investigation, which culminated in a lawsuit against Betancourt, it appears that Commodore was chummy enough to provide Betancourt with his resume so Betancourt could distribute it as he saw fit (and wish him a nice holiday in an indirect way).
      • This was so in spite of the fact that during the preceding months Commodore was confused, puzzled, concerned, not entirely sure, unsure, struggling to understand, not yet aware, still remained unsure, etc. regarding events and actions vis a vis Betancourt and BTU.
      • Why didn't Commodore just run away to the light (Almazeedi) and get far away from Betancourt?
Well, the answer may be found here:
The following day, Friday, December 5, 2008, I was called into an evening meeting with Mr. Al Mazeedi and Ventures' human resources director. Mr. Al Mazeedi told me, in very general terms, that there were significant security concerns at BTU and asked me to disclose to him anything I may know on the subject. Mr. Al Mazeedi asked me to consider the matter over the weekend and to speak with him again the following Monday. (Paragraph 25)
      • Betancourt was placed on Administrative Paid Leave on December 9. 2008.
      • Betancourt was terminated and sued by BTU (Almazeedi) on January 15, 2009.
      • Commodore remained employed by BTU (Almazeedi) until September 2009.

Commodore's Role at BTU Ventures / BTU Industries. Which Version Should One Pick?
[Note: According to James Commodore's Current Resume he was employed by BTU Ventures and BTU Industries from May 2008 through September 2009.]

What he told in a sworn statement of facts to US Federal Court (that Commodore's a youngin just making his way into the world and completely trusting and relying on others for guidance):
From the James Commodore Affidavit (January 14, 2009)
Prior to my employment at Ventures, my only previous employment after law school was approximately eighteen months as a staff attorney for a Connecticut company that develops, owns and operates wind farms within the United States. At the time of my hire, I made it clear to Ventures that I could not serve as the company's general counsel because I did not have sufficient experience to perform that role. Instead, Ventures hired me with the title of "Corporate Counsel" and with the understanding that Ventures would continue its search for a more experienced lawyer who would serve as general counsel and to whom I would report. (Paragraph 3) [Note: Commodore is "recollecting" events that would have taken place on, or about, May 2008 - the start of his employment with BTU]
The tension was exacerbated on or about September 26, 2008, when Mr. Al Mazeedi announced a staff reorganization of Ventures. My own title was changed from "Corporate Counsel" to "Project Counsel", with impliedly narrowed duties. (Paragraph 7)
I also was struggling to understand precisely what my duties were and who my client was under these strained circumstances. (Paragraph 16)  [Note: if Commodore is corporate counsel his client is the company that employs him.  I guess we can conclude from this statement that Commodore did not know what he was supposed to be doing and who he was working for.]
In any event, at some point in late October or early November 2008... (Paragraph 17)  [Note: this reference was included to provide context on timing.]

What he wanted to tell the world when he gave his resume to Betancourt (that Commdore's an accomplished corporate lawyer, who'd also served as General Counsel):
From the resume modified on November 21, 2008 and provided to Betancourt November 27, 2008.
As Corporate Counsel my primary duty has been to support project and development personnel as their primary legal contact. In that capacity, I have developed, reviewed and negotiated contracts of various types (i.e., joint venture agreements, confidentiality agreements, letters of intent, term sheets); I have reviewed and summarized relevant project agreements and helped guide project and development personnel through the relevant terms thereof; I have provided general legal support to Asset Management functions; and I assumed substantial responsibility in all areas of general transactions, acquisitions and financings, including performing legal due diligence connected therewith, relying on and working with outside counsel and advisors.

I have also had to assume certain of the duties of General Counsel during my time at BTU, having to anticipate and identify legal issues, risks, and opportunities and work with senior management and external advisors to develop strategies and solutions.
After the "coast was somewhat clear" some 18 months after he "left" BTU Commodore can finally remember that he's been working on "billions of dollars worth of project transactions" all along and been very involved in all aspects of the "business"

In his most recent Linked-in profile Commodore claims that he has:
"...worked on billions of dollars worth of project transactions, taken lead roles in project development related negotiations, acquisitions, and financing and other transactions. I have supported project O&M, asset management, consortium formation and bid preparation and equity investment negotiations. In connection with all the above, I have gained substantial experience with corporate formation and structuring, record keeping, and corporate governance."

      • Guided a $52 million equity bridge loan repayment.
      • Negotiated the acquisition of a 27 MW associated gas-fired simple-cycle plant in Northern Africa.
      • Provided legal support to asset management and O&M activities at a 470 MW power plant in Tunisia and a 1200 MW power and desalination plant in Abu Dhabi.
      Conclusion
Commodore served Almazeedi very well through his affidavit.  Commodore portrays himself in his affidavit as naive and inexperienced in order to "convincingly" claim that he was duped by the more senior executive, Betancourt.  Yet, before he joined BTU and after he left BTU he portrays himself quite differently.  Which one is the real Commodore?

Why all the lawsuits by BTU Ventures, BTU Industries (Wael Al-Mazeedi) against former employees and contractors? The "other" side of the story.

Wael Al-Mazeedi has used a multitude of lawyers and probably spent significant amounts of money suing people that worked for "BTU." Since we've already established that Al-Mazeedi is in complete control of the "companies" mentioned above we'll just assume he is behind all the litigation against employees/contractors.

We get a more detailed discussion regarding Al-Mazeedi's motives from excerpts taken from Defendant, Martin Betancourt's Renewed Memorandum of Law in Opposition to Motion to Dismiss Counterclaims/Third Party Complaint.

[Note: as discussed elsewhere in this blog the trial court judge denied, in its entirety, BTU's motion to dismiss Betancourt's counterclaims/third party complaint.]

      INTRODUCTION AND FACTUAL BACKGROUND
"In connection with the proceedings before this court, Betancourt filed an amended affidavit under seal."

[Note: Betancourt's amended affidavit was sealed as a result of BTU Ventures and BTU Industries Motion to Place Under Seal]

"...LITIGATION COMMENCED BY BTU WAS DONE SOLELY FOR THE PURPOSE OF SILENCING BETANCOURT FROM EXPOSING POTENTIALLY CRIMINAL AND/OR FRAUDULENT ACTIVITY AS WELL AS AIDING IN ITS DEFENSE AGAINST LAWSUITS COMMENCED AGAINST IT"

BTU/Al Mazeedi knew that Betancourt was the source of BTU documents filed in the IFIC lawsuit in Middlesex County. As a result, BTU and Al Mazeedi, brought process, the instant lawsuit, for the ulterior and/or illegitimate purpose of
      1. punishing Betancourt for assisting IFIC challengers in exposing BTU and Al Mazeedi‟s potential fraud;
      2. to gain a strategic advantage in the IFIC lawsuit;
      3. and to discourage Betancourt from further exposure of their actions.
Time and time again, the plaintiffs have asserted that the purpose of the litigation against Betancourt was to
“achieve judicial enforcement of Betancourt‟s obligations to Ventures not to disseminate Ventures' confidential and proprietary documents and information to third parties.”
In its motion to dismiss, the plaintiffs claim that Betancourt sent proprietary documents to opposing counsel and characterized the fruits of the results of this preliminary injunction as follows:
“this Court allowed the Companies' motion for a preliminary injunction ....this Court's injunction has yielded hundreds of thousands of pages of the Companies' documents, in electronic and hard copy form, that Betancourt wrongfully and unlawfully had removed to his possession, custody or control. “
      • In reality, the actual number of documents “yielded” was 12,290, of which 6,321 were turned over to BTU as the others were covered by some privilege (e.g. 3rd party NDAs, medical records, etc.)
        • The 12,290 documents were “responsive” to approximately 300 keywords, many of them generic terms (e.g. solar, wind, fund, Italy, Germany, China, etc.).
        • If a document was responsive and not privileged it was turned over to BTU regardless whether it was a “BTU” document or not.
        • For example, about 3,300 documents were from the public domain and could be anything from the New York Times daily emails that Betancourt received to annual reports from PSEG. Another 700 or so documents were blank and contained only metadata and no legible text.
      • The net result was approximately 500-600 pages of BTU related documents.
It is undisputed that Betancourt did not disclose any proprietary information to BTU to third parties, the sole disclosure was limited to documents which Betancourt reasonably believed were evidence of potential fraud and criminal activity on the part of BTU and Al Mazeedi. These documents numbered approximately 12-13 pages.

[Note:  BTU/Almazeedi fired and sued Betancourt on the same day.]

Qatar Investment Authority, BTU Power Company's most "notable and perhaps largest" investor decides to pump almost $3 billion USD into somebody else's reality of a "TRUE" GLOBAL power company: IBERDROLA

Qatar Holding LLC will make additional investments in energy projects with Iberdrola SA (IBE)
"Iberdrola this week secured a 2 billion-euro ($2.8 billion) investment from Qatar’s state-owned investment company..."
"Qatar Holding's owner. The Qatar Investment Authority already controls an estimated $100 billion of assets globally..."
IBERDROLA also intends to establish its regional Headquarters as well as research and development operations in the State of Qatar.

IBERDROLA records €2.87 billion net profit in 2010, highest in its history
      • "IBERDROLA continued to diversify its generating assets during the year, with installed capacity standing at 44,991 MW."
      • "This has led to the Group achieving a presence in 40 countries..."
      • "It has also seen IBERDROLA become Spain’s leading energy group, as well as world leader in wind and one of the largest global utilities by market cap."
IBERDROLA projects €16 billion investments between 2010-12 [Note: about 23 billion USD]
      • €5.6 billion will be invested in networks, not including the
      • €2.4 billion for the acquisition of Brazilian distribution company Elektro,
      • €5.3 billion in renewables,
      • €2.2 billion in generation and retail and
      • €300 million for other activities.

Almazeedi's various paper companies (they still haven't told anyone, and we still can't find where any of their operating assets are located) such as BTU Industries, QGEN, FATE Consortium, etc. claim to be "THE" Industry Leaders in whatever field they are supposed to exist.

Nevertheless, Al-Mazeedi's most notable "investor" has chosen to keep investing in the electric power industry (renewables, conventional, etc.)... just not with Al-Mazeedi.  Why would QIA decide to entrust their billions to someone else other than the self-proclaimed industry leader?

Qatar Investment Authority has undoubtedly "learned a lot" since they first put their trust in Al-Mazeedi's business initiatives back in 2003.

Note: Iberdrola owns assets in the USA, including Massachusetts.... QIA will be in Al-Mazeedi's back yard. Maybe they'll visit Waltham and pay a visit to what must surely be their (1st or 2nd?) most important investment in the electric power/energy industry?Enhanced by Zemanta

Want to be an employee that makes a difference at QGEN (and BTU Ventures before it "disappeared.")? Read On...

People make a difference at BTU Ventures, BTU Power, and QGEN!  Actually, no.

      WHAT THEY SAY
Within the last few weeks Almazeedi had his BTU Ventures website "deleted" and his QGEN website "updated".  Many statements and "concepts" were transfered over from the deleted site to the updated site.

QGEN includes the quote immediately below in its website.  BTU Ventures, before its disappearance from the web, also included the exact same statement.  It could be considered somewhat of a "mission statement" and ostensibly represents the ETHOS of the companies headed by Wael Al-Mazedi.
"All of our people are active participants in shaping the future direction of our company."
The statement seemingly indicates that people, such as partners (Hayat), directors (Hayat), advisors, consultants, employees, etc. are EMPOWERED.

      WHAT THEY  DO
Re: Hayat: 44% Owner , Director as well as "Employees in General"
"After the initial investments into BTU Group, Al-Mazeedi began operating BTU Group so as to limit Hayat's and other employee involvement, regularly replacing officers and junior and senior staff, forcing the resignations of others who disagree with him, and outright rejecting qualified individuals suggested by Hayat.
Re: A Key Advisor and Consultant for BTU Group
      Defense and Counterclaim, paragraph 36
"As Mr. Mazeedi's behaviour became more selfish, erratic and of dubious propriety many of those who worked for or with the BTU Group felt it necessary to leave in their own interests.  Dr. Rathnam's departure falls into this category."
Re: A Former BTU Financial Controller
Kenny Leung Email to BTU and Draft Letter to Evolvence, 3rd page, 4th paragraph
"As I had noted at the beginning of this letter, I ceased to be BTU's Financial Controller as of 18 September 2007.  My employment was abruptly terminated on that date after I sent an email and memorandum within BTU documenting ethical concerns I had about actions and positions taken and/or not taken by BTU which clearly harmed the interests of its various stakeholders."
Re: A Former BTU Ventures Anonymous Employee
      glassdoor.com: BTU Ventures Reviews
Ownership is intently disingenuous having little regard for employees - exceptionally talented at the "bait and hook" - making exceptional sales pitch when recruiting candidates in to the organization and offering exceptional compensation - then on a whims notice discarding employee - at times with malice.
WHAT THE MASSACHUSETTS COURTS HAVE TAKEN AS UNCONTROVERTED FACTS
Commonwealth of Massachusetts Appeals Court & Middlesex Superior Court
"Hayat was to have a seat on BTU Holdings' board of directors and participate in all major management decisions of the BTU Group..."
"From that time, forward, the defendants have largely refused Hayat's requests for information concerning the operations of the BTU Group."
"In conjunction with their freeze-out of Hayat from BTU Holdings..."
"In December 2007, Al-Mazeedi had Hayat served with notice of a meeting of BTU Holdings' Board of Directors, in Waltham, for the stated purpose of removing Hayat from the Board. He refused Hayat's request for a three-day postponement so that he could travel from Kuwait to Waltham for the meeting. The meeting was held on December 7, as noticed, and the directors in attendance - Al-Mazeedi and Oishi - voted the absent Hayat off the Board."
"No subsidiary in the BTU Group has an independent board and only Al-Mazeedi and Oishi make policy and substantive decisions."
Given that last statement included in the Appeals Court ruling there is nothing else that can be added.

QGEN's "sponsorship" of 2011 MIT Energy Conference + the "old" BTU Power is back for a Guest Appearance.

Note:  QGEN finally MADE the "news" regarding its "sponsorship" of the 2011 MIT Energy Conference on March 4, 2011.  What this means, essentially, is that they wrote their OWN press release and presented it as "news."  They finally found a place to put this "news" item somewhere in the stream of other breaking QGEN news.

Interesting coincidence.  We pointed out that their "sponsorship" of the 2011 MIT Energy Conference had not been deemed "newsworthy" as of March 1, 2011 and on March 4, 2011 it becomes "news."  We'll just keep the section of the the writeup immediately below as an artifact of historical curiosity.  The rest of the post needs no changes.

Originally written on March 1, 2011
QGEN "news" that didn't make the cut in 2011
QGEN's participation in this conference made it into the "news" section of its website in 2010 (actually the news articles are press releases written by QGEN).  It was probably crowded-out by all the other "notable" QGEN-related events that have been reported by the press since the last MIT Energy Conference in March 2010 (a total of one press released issued by QGEN in August 2010).

QGEN is once again a Title Sponsor at the 2011 MIT Energy Conference to be held Saturday March 4th and 5th, 2011 at the Westin Copley Place, Boston

In its website, QGEN describes it's involvement in the MIT Energy Conference as follows:
"As a thought leader in the industry, QGEN is once again demonstrating its commitment to identifying and cultivating the leaders of tomorrow’s energy industry."
One can only assume that they still retain that premiere position as a "thought leader in the industry."   Their participation as a Title Sponsor this year is just as "newsworthy" as it was last year.

"Title Sponsor" exclusive benefit: a chance to be one of ~65 speakers
Don't know how much you have to pay to become a "Title Sponsor" at the 2011 MIT Energy Conference, but it must be enough to get you a role as one of approximately 65 speakers during the two-day conference.

The Old BTU Power Is Back!
It's interesting to note that the BTU Power described in Almazeedi's bio. has transformed from being a company with two assets (in Tunisia and Abu Dhabi totaling 482 net MW) back into the BTU Power of old (as can be seen from the Wael Almazeedi bio from the link above):
"Wael Almazeedi has more than 25 years of experience developing and financing energy projects. He is also Managing Partner of BTU Power, a private equity fund engaged in the development, management and ownership of 11,000 MW of installed power generation capacity located in China, South Korea, Taiwan, Tunisia and the UAE."
The "new" BTU Power Company emerged sometime in the middle of February 2011.  The "new" BTU Power is only a bit smaller than the representation of the "old" BTU Power by a factor of 26.  Wonder why they did not include a link to the NEW BTU Power?

The first of Al-Mazeedi's litigation salvos: the lawsuit filed against Mr. Hayat in the Caymans (original: September 27, 2007)

Among the many documents submitted in support of various motions in Massachusetts and Cayman Islands courts there are exhibits that contain correspondence, corporate documentation, summary financials, etc.  When viewed in the wider context of ALL litigation involving Mr. Al-Mazeedi these exhibits not only inform but also elucidate.  The following email from Mr. Al-Mazeedi to Mr. Hayat (in which he offers essentially NOTHING - beyond the fee that he was already receiving for having brought in the $290 million - for his 44% ownership of BTU Holdings Company) underscores a particular modus operandi of Mr. Al-Mazeedi (and Ms. Oishi).

Note: links to the principal filings in the Caymans litigation are found at the bottom of this post.

      2006
Al-Mazeedi describes how much the personal and family relationship he's developed with Hayat means to him.
"However, due to the personal and family relationship we both have and which I, in particular, value..."

Al-Mazeedi sues Hayat in the Caymans

Tactical and abusive nature of the Writ  [from Hayat's Defence and Counterclaims]
      2. Mr. Hayat's contacts and business expertise were crucial to the successful formation and funding of the BTU Group. But for Mr. Hayat's considerable endeavours there would have be no prospect of the BTU Group developing past its start-up phase. The subsequent growth in value of the BTU Group was as a direct result of Mr. Hayat's services, particularly in respect of the negotiations which led to the provision of funding under the Evolvence Agreement.

      3. The BTU Group was from the beginning intended to operate as a quasi-partnership, drawing and developing upon the respective skills and contacts of the main shareholders. Unfortunately having benefited from Mr. Hayat's work, the other beneficial owners, namely Mr. Mazeedi and his wife, Ms. Mitsue Oishi (together "the Mazeedis"), increasingly sought to exclude Mr. Hayat from the participating in the management of the BTU group and have sought inter alia to improperly divert maturing business opportunities to other companies which are not part of the BTU group, (although these are improperly trading in the style "BTU").

      4. This Writ forms part of the break-down of the relationship between Mr. Mazeedi and Mr. Hayat. Worse still it forms part of transparent attempt to obtain a perceived tactical advantage in the wider dispute between the parties, based upon allegations which the Mazeedis know to be without merit or foundation.

      5. No notice of this Writ was provided to Mr. Hayat by BTU, despite the fact that certain allegations made related to conduct which took place more the 4 years previously, and of which no complaint was made in the intervening period.

Wael Al-Mazeedi, Mitsue Oishi, and BTU Holdings Company lose another round against Abdulmohsen Hayat - complete Memorandum and Order issued on January 10, 2011 re: their Motion to Dismiss Hayat's Amended Complaint.

The following is the COMPLETE memorandum and order issued (January 10, 2011) by the trial judge in the Hayat vs. Al-Mazeedi, Oishi, and BTU Holdings Company lawsuit.  It's very informative reading for anybody wanting to get a better handle on the genesis of BTU's litigious "track record."

ABDULMOHSEN HAYAT, on his behalf and on behalf of all other shareholders of BTU HOLDINGS COMPANY and individually
      vs.
WAEL AL-MAZEEDI, MITSUE OISHI, and BTU HOLDINGS COMPANY

      1. Breach of Fiduciary Duty (Hayat v. Al-Mazeedi and Oishi)
      2. Breach of Contract (Hayat v. Al-Mazeedi, Oishi, and Holdings)
      3. Diversion of Corporate Opportunity (Hayat on behalf of Holdings v. Al-Mazeedi and Oishi)
      4. Claim for Declaratory Judgment under M.G.L. c. 231A § 1 (Hayat v. Al-Mazeedi, Oishi, and Holdings)

      link: Hayat Verified Amended Complaint

BTU Holdings Company, Wael Al-Mazeedi, and Mitsue OIshi filed a Motion to Dismiss Hayat's Verified Amended Complaint. The trial court judge DENIED their Motion to Dismiss on January 10, 2011 (except for Count 2, as to Al-Mazeedi and Oishi but NOT Holdings).

The "background" of the lawsuit as included in the Hayat Verified Amended Complaint as well as the relevant extracts regarding the specific detail of each of the counts above follows:

Who is Wael Al-Mazeedi? Our findings don't match the persona being projected by Mr. Al-Mazeedi and Ms. Oishi. Why?

Note: This is still a work-in-progress

Background and current persona of Wael Al-Mazeedi
All of the CEO's/Chairmen of publicly traded companies are KNOWN to the world.  Their deeds and words are closely scrutinized as they are held accountable by regulators, shareholders, partners, etc.  However, when you are a partner in a closely-held, unregulated partnership with absolute control you can portray yourself anyway you want.  Who can ever question you if your story can never be corroborated or contradicted?  For all intents and purposes your story becomes the TRUTH.

Al-Mazeedi's most current version of himself is the following:
      • Mr. Almazeedi is Founder and Chairman of QGEN.
      • He is also Managing Partner of BTU Power, a private equity firm with a track record in developing, managing and owning 11,000 MW (gross) of installed power generation capacity located in China, South Korea, Taiwan, Tunisia and the United Arab Emirates.
      • Prior to QGEN and BTU Power, Mr. Almazeedi’s worked for the
        • World Bank Group and for the
        • Kuwait Petroleum Corporation.
      • In 2006, Mr. Almazeedi was awarded the Ernst & Young Entrepreneur of the Year® Award in the energy category for New England.
       [link: ACG Growth Conference: Boston]

The Al-Mazeedi trajectory, as projected by Al-Mazeedi, is seemingly very clear:  Kuwait Petroleum Corporation > World Bank Group > BTU Power > Entrepreneur of the Year (see the post elsewhere in this blog regarding the E&Y award) > QGEN.

The story, as told by Al-Mazeedi,  of how he achieved all his "success" while going through "tremendous hardships" follows.  Al-Mazeedi's story looks quite different when you account for omitted facts.

A fearless Al-Mazeedi comes to America with $50 and builds a successful business that earns him accolades.

Many of you won't have access to the Boston Herald article (referenced below) that "covered" the Ernst & Young Entrepreneur of the Year awards in 2006.  We can not reprint it but we will produce some excerpts so as to not run afoul of copyright laws.

Even with just a few excerpts it's obvious that Al-Mazeedi wants to paint an inspiring picture of heroism, harrowing loss, deprivation, hard work (goes without saying), and success.
"... turbulent life experience, namely escaping Kuwait in the run-up to the Persian Gulf War."
"Al-Mazeedi, who now runs the successful Waltham-based company ... said losing everything sharpened his business skills."
"Al-Mazeedi came to the United States with $50, and there were times when he and his family went without electricity...."

"But Al-Mazeedi's road out of Kuwait and to the United States was even more hair-raising."

"When Iraq invaded Kuwait in 1990, Al-Mazeedi was working at the country's national oil company."

"Before fleeing Kuwait, Al-Mazeedi went to retrieve a laptop from his office and found himself at the end of the barrel of a machine gun. The Iraquis holding him at gunpoint eventually left him alone, but Al-Mazeedi had to make an escape across the desert to Saudi Arabia."

ERNST & YOUNG ENTREPRENEUR OF THE YEAR; NEW ENGLAND 2006; ENERGY Award recipient; AN ESCAPE TO SUCCESS; Kuwait native took very hard road (Boston Herald - Jesse Noyes - June 16, 2006)

Everybody that could, and had means, escaped to Saudi Arabia
"On 2 August 1990 Iraq launched the invasion by bombing Kuwait City, the Kuwaiti capital." [link: Wikipedia: First Gulf War]
"After two days of intense combat, most of the Kuwaiti Armed Forces were either overrun by the Iraqi Republican Guard, or had escaped to neighboring Saudi Arabia. The emir and key ministers were able to get out and head south along the highway for refuge in Saudi Arabia ... From the mountainous city of Taif resort in Saudi Arabia, Sheikh Jaber set up his government so that its ministers were still in control and were in constant communication with the people still in Kuwait." [link: Emir of Kuwait: Jaber_Al-Ahmad_Al-Jaber_Al-Sabah]
Observation:  The ruler of Kuwait also escaped to Saudi Arabia (to a resort town).  His ministers escaped to Saudi Arabia.  The Kuwaiti Armed Forces that had a chance to also escaped to Saudi Arabia. If Al-Mazeedi did indeed escape to Saudi Arabia, he was just one of the many of the people with means that left the country.
"The Iraqi Invasion of Kuwait devastated Kuwait, but it did not devastate KPC (Kuwait Petroleum Company) which, because of its international diversification strategy, survived. Senior staff of KPC escaped with the bulk of crucial management information intact, and within days had set up an alternative head office in the London premises of Kuwait Petroleum International."  [link: FUNDINGUNIVERSE.com: Company Histories - Kuwait Petroleum Corporation]
Observation:  In addition, seems likes his colleagues at the Kuwait Petroleum Company also had no problem getting out of Kuwait and were in a position to quickly set up shop in London.  They also took the "bulk of crucial management information intact."  Leads us to wonder what on earth Al-Mazeedi would be doing retrieving his laptop from a building occupied by Iraqi soldiers.  If Al-Mazeedi was headed for London anyhow, it makes one wonder why his colleagues didn't just take him along?

Where in the world was Wael Al-Mazeedi in 1990

Somehow after escaping to Saudi Arabia by the skin of his teeth and having lost everything Al-Mazeedi ends up in London in no time.  Between August 1990 and the end of the year he sets up shop in a section of London (63 Curzon St, Mayfair, London) where "...rents are among the highest in London and the world."  [link: Wikipedia: Mayfair]

Not bad after the "turbulent life experience" associated with "escaping" through the desert and losing everything.
"(Al-Mazeedi) left the public service sector in 1990, and established the Strategic Investment Forum, a London-based management consultancy firm engaged in privatization and professional management development....."  [link: Google books - Strategic positioning in the oil industry: trends and options (By Paul Stevens)]
Article published in Energy Policy, Volume 20, Issue 10 on October 1992, Pages 983-994  "Wael Al-Mazeedi, Managing Director, Strategic Investment Forum, 63 Curzon Street, London W1Y 7PE, UK"  [link: ScienceDirect.com - Energy Policiy: Privatization]
Observation:  We have a MAJOR DISCONNECT in the story as told by Al-Mazeedi to the Boston Herald in 2006.  He supposedly escaped to Saudi Arabia and came to the US with just $50 and life was so hard that he and his family had to live without electricity at times.  It kind of looks like he might have actually spent the entire duration of the first Gulf War, which formally ended in February 1991, in merry old London.  Also, there's no way to tell when in 1990 he arrived in London, before August 2, 1990 or after?

Al-Mazeedi goes from London to Washington DC (presumably with only $50)
As the chronology below will show, Al-Mazeedi tried his hand at various other "business" initiatives.  All of which appear to have yielded no results.  From 1990 through 2001 Al-Mazeedi is behind the following:
      • Strategic Investment Forum
      • MENA Capital Resources
      • MENA Task Force for Private Infrastructure Finance
      • BTU Capital Group (this company doesn't appear to be related to BTU Holdings Company, the company where Hayat is 44% owner in any, way shape or form.  The Secretary of the Commonwealth posted a notice of revocation April 20, 2009) [link: BTU Capital Group, LLC]
The money starts coming in and Al-Mazeedi is finally associated with a real business: Thanks to Hayat
The chronology below seems to indicate that Al-Mazeedi was at Harvard ~1998.  In 1999 Al-Mazeedi's fortunes change when he meets Abdulmohsen Hayat.
Hayat later learned that Al-Mazeedi (along with his life partner, Ms. Mitsue Oishi) were in substantial financial debt [presumably from previous failed business ventures]. (Original Hayat Complaint, paragraph 12)
At the time we began this effort in 1999 and 2000, Al-Mazeedi had no capital whatsoever to invest in our venture or even support his family; I provided him the money he needed for all expenses (business and personal) until I was able to find a lender (I believe in 2001) to loan money to our venture. (1st Hayat Affidavit, paragraph 26)
"... Hayat was primarily responsible for engaging investors with whom he had prior relationships." (Original Hayat Complaint, paragraph 15)
Hayat was able to bring to BTU Group substantial investors, and so fund its operations. (Original Hayat Complaint, paragraph 27)
In 2003 investors were finally located and committed to large investments in the fund maintained by a subsidiary (over $250,000,000 was committed.) (1st Hayat Affidavit, paragraph 32)
       Other Observations
Al-Mazeedi makes various references in different bios to the World Bank.  He identifies himself as a consultant TO the World Bank, a consultant FOR the World Bank, as well as WORKING for the World Bank.  Seemingly small differences in the portrayal but it does sound more "impressive" to say you consulted or worked for the Word Bank (insider) versus saying you provided consulting services to the World Bank (outsider).

       Some Conclusions
The Wael Al-Mazeedi story sounds quite different when you fill-in a lot of the blanks left out in the Boston Herald article. You have to admit that it SOUNDED good.  We have not reprinted the entire article.  However, much of the rest of the "story" in the Boston Herald follows the same plot line.
